Die Warranty & Indemnity-Versicherung hat in den vergangenen Jahren einen großen Aufschwung von einem weithin unbekannten Nischenprodukt zu einem in der heutigen Transaktionspraxis häufig gewählten Sicherungsmittel für Gewährleistungen bei M&A-Transaktionen erfahren. Bislang wurde dieses aus dem angelsächsischen Raum stammende Versicherungsprodukt in seiner Umsetzung unter Geltung deutschen Rechts nur vereinzelt in Fachaufsätzen und Handbüchern sowie einer älteren Dissertation behandelt. Dies ist Anlass genug, sich der W&I-Versicherung in ihrer aktuellen Gestaltung vertieft in einer Monografie zu widmen. Die Arbeit stellt den wesentlichen Inhalt von W&I-Versicherungsverträgen, einschließlich seiner rechtlichen Besonderheiten, dar und untersucht diese unter dem Blickwinkel des deutschen Versicherungsrechts. Dies beinhaltet die Einordnung der W&I-Versicherung als Versicherung im Rechtssinne, die Darstellung besonderer Gestaltungsformen wie die Stapled-Insurance oder die Verweistechnik auf den Unternehmenskaufvertrag zur Risikobeschreibung. Zudem wird auf die teils besondere vertragliche Ausgestaltung der Selbstbehalte und die Be-urkundungsbedürftigkeit von W&I-Versicherungsverträgen eingegangen.
